Reddit上有个人解释得挺好的: ”There are two taxable transactions with RSUs: first when the shares vest the Fair Market Value (FMV) is taxed as compensation. Then when you sell the shares you have capital gains or losses to report on your return. When the RSUs vest the income will be included in compensation in Box 1, and usually federal withholding taxes are 22% because it's considered a bonus payment. The employer isn't required to itemize or provide the Fair Market Value of the shares on the W-2. Usually shares are sold to cover compensation taxes and you get the remaining shares.” |
